Grab聲明指出，公司長期維持嚴格且獨立的公司治理制度。在既有架構下，Dara Khosrowshahi過去已主動迴避所有與台灣事務相關的董事會討論及決策，以避免利益衝突。此次辭任董事職務，也被視為公司持續強化治理機制的重要一步。

Grab強調，Grab是一家由創辦人主導的公司，在雙重股權結構下，集團執行長暨共同創辦人陳炳耀持有過半數投票權。因此，Grab所有重大的策略決策均由其位於新加坡的管理團隊獨立制定。Dara Khosrowshahi於 2018 年 Uber 將其東南亞業務出售予Grab後加入Grab董事會，作為非執行董事，他負責履行董事會的監督職責，並未參與 Grab 的日常管理或營運。
Grab並指出，完成此次董事會調整後，董事會共由六名董事組成，其中四名為獨立董事。
